Hemisphere Properties India Ltd - Board Meeting Outcome for Allotment Of Preference Shares To Promoter Of The Company

In pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 it is hereby informed that the Board of Directors of the Company at its meeting held on September 15 2025 has approved and allotted 75000000 (Seven crore fifty lakh) Cumulative Redeemable Preference Shares (Tranche-4) of face value ?10/- each at par aggregating to ?750000000 (Rupees Seventy-Five Crore only) on a private placement basis to the Promoter of the Company i.e. the President of India acting through the Ministry of Housing & Urban Affairs. The shares are unlisted and the pricing and terms relating to the issue of shares will remain consistent with prior disclosures.
