SKI Process of ISIN Generation and Conversion of Shares into Demat Form

  • Appointment of RTA: The company appoints a Registrar & Share Transfer Agent (RTA).
  • Preparation of Tripartite Agreement: A tripartite agreement is prepared between the issuer company, the RTA, and the depository (either NSDL or CDSL).
  • Preparation of Application Documents: The necessary documents for application to the depository are prepared, including:
    • Board Resolution
    • NSDL Portal Creation Document

  • Submission to Depository: The documents are submitted to the depository for review.
  • Payment of Fees: Fees are paid to both the depository and the RTA during the approval process.
  • ISIN Issuance: Upon approval and payment, the depository issues the ISIN.
  • Opening a Demat Account: Shareholders must open a demat account with a Depository Participant (DP) that is associated with the same depository (NSDL or CDSL) where the ISIN is obtained. Ensure that the names on the demat account and physical share certificates match.
  • Filling Out the Dematerialization Request Form: After opening a demat account, the shareholder fills out a dematerialization request form and surrenders the physical shares to the DP, ensuring to note "Surrendered for dematerialization" on each share certificate.
  • Document Submission: The DP electronically sends the required documents to the Registrar and Transfer (R&T) agent.
  • Validity Check: The R&T agent verifies the authenticity of the submitted documents.
  • Declaration: Upon receiving the demat request from the DP, the issuer sends a digitally signed declaration to the RTA to confirm the demat request punched by the DP. Once the RTA receives the declaration from the issuer, the securities are dematerialized, and the demat request is closed and settled.
